Solar Industries strengthens its explosives solutions supply chain, acquires South Africa’s Omnia Holdings for US$1.355 billion

Nagpur, September 14: Speculative reports that Solar Industries India is acquiring a company have been proven true. The Nagpur-based company has announced its intention to acquire South Africa-based Omnia Holdings Limited, a chemicals and explosives leader. The deal, valued at about US$1.355 billion, will strengthen Solar Industries’ core explosive and blasting solutions vertical by making it one of the biggest players in the field. 

Through this acquisition, Solar Industries gains access to Omnia’s highly regarded BME explosives, electronic detoniation systems and digital blasting brands. Besides this, its Agriculture segment comes with its proprietary Nutriology and Agribio solutions. Solar Industries also gains access to Omnia’s integrated manufacturing infrastructure, especially for nitric acid and ammonium nitrate production facilities. These assets will help Solar Industries enhance its vertical integration for the explosives value chain. 

Solar Industries will also get access to Omnia’s established distribution network across 23 countries, with the acquisition price representing about 96% of Omnia’s FY26 revenue of US$1.41 billion.

According to a regulatory filing, Solar Industries aims to complete the acquisition by mid 2027, subject to applications from relevant jurisdictions. Upon completion, Omnia will be delisted from the Johannesburg Stock Exchange and the A2X Markets securities exchange.

The acquisition by Solar SA of Omnia will create most integrated global blasting platform that combines Omnia’s vertically integrated manufacturing capabilities, ammonium nitrate production, surface bulk explosives and blasting services with Solar Group’s leadership in explosives, initiating systems and advanced blasting technologies. Together, the combined group will be positioned to offer most integrated blasting solutions, creating meaningful competitive advantages through enhanced supply security, greater economies of scale, technology differentiation, access to key mining markets across Africa and other international geographies, and deeper customer engagement.
