Mumbai: One Point One Solutions Ltd (1Point1), a leading Business Process Outsourcing (BPO) company and contract services provider, has announced the acquisition of Latin America-based Netcom business’s entities in Costa Rica and Colombia, strengthening the company’s presence in the Americas.

“The acquisition of Netcom strengthens our North, Central and Latin America footprint and expands our BFSI presence across continents. This positions 1Point1 for accelerated growth, unlocking new opportunities to deliver differentiated value to its expanding customer base, while underscoring the company’s commitment to building a next-generation BPM leader amid rising demand for intelligent, AI-powered outsourcing solutions’’ Akshay Chhabra, Chairman & Managing Director, 1Point1 Solutions, said.

According to an exchange filing, the acquisition is being done by One Point One MENA Holdings Limited, a wholly owned subsidiary of the company, acquiring 100% of the shares of Netcom Business’ Costa Rica arm Netcom Business Contact Centre S.A. and its Colombia arm Netcom BCC Colombia S.A.S.

The total transaction value for these companies is $33.37 million, including an upfront cash payment of $25.41 million and an estimated earn-out of $8.25 million, subject to EBIDTA performance and excess working capital.

Both entities have reported combined turnovers of $25.35 million in 2024 up from $24.18 million in 2023. The companies have ongoing contracts for a diverse set of clients in the banking, telecom, insurance and public service domains.  For One Point One, this acquisition would help it extend its domain expertise in banking and finance to Latin America through its AI-first, BPM model. The acquisition is set to complete by 31 March, 2026.

This is One Point One’s second acquisition this year, after its TECHSCIENT.AI acquisition in June this year worth ₹26 crore.
