Mumbai: Brainbees Solutions Limited, the parent company of children’s apparel brand Firstcry, has announced the acquisition of KA Enterprises through its subsidiary Swara Baby Products, as per a press release to the bourses.
This acquisition comes at a time when Brainbees looks to move up the value chain for its apparel and sanitation products, with KA Enterprises being the best fit for the company.
The acquisition, valued at Rs.57.74 crore, is expected to be completed by December 31, 2025 subject to regulatory approvals. As per the agreement, KA Enterprises will become a step-down subsidiary of Brainbees, with the companies’ shareholding in Swara Baby being adjusted from 87.29% to 75.92% following the transaction.
KA Enterprises, based in Dhar, Madhya Pradesh, is a leading manufacturer of sanitary napkins and diapers for both adults and kids. The company has long-standing relationships with clients including Solimo, Kotex, HLL Lifecare and Kotex. It has a manufacturing facility at Pithampur in Dhar, Madhya Pradesh. The company recorded a profit of Rs.5.22 crore in FY2024-25, with a turnover of Rs.84.01 crore.
Brainbees is one of the leading companies in India’s maternity and childcare products space. It has grown its base from an omnichannel player to expanding its reach by acquiring brands like BabyOye (2016) and Oi Playschool in 2019. Before this, Brainbees bought stakes in three companies this year- kitchen and home utility products company Platex Ecommerce (70% stake in September), IT company Dynamic IT Solutions (89.91% in October) and fitness equipment company HS Fitness (86.49% in December).
